These Terms and Conditions ("Terms") govern all services provided by Logicsofts Solutions Ltd, trading as Wave69 ("Wave69", "we", "us", "our"), to clients ("Client", "you", "your"). By engaging our services, signing a proposal, making payment, or otherwise instructing us to begin work, you accept these Terms in full.
Where a written proposal, scope of work, or client agreement has been signed, that document forms part of the contractual agreement alongside these Terms. In the event of conflict, the signed proposal takes precedence over these Terms for the specific matter in question.
Wave69 provides digital marketing services including, but not limited to: search engine optimisation (SEO), web design and development, hosting setup and maintenance, link building, directory listing management, branding and graphic design, AI chatbot development, and website migration and recovery.
The specific services, deliverables, and pricing for each engagement are set out in a written proposal or scope of work agreed with the Client before work commences. We do not begin work on any significant project without a written agreement in place.
All proposals and quotations issued by Wave69 are valid for 30 days from the date of issue unless otherwise stated. Wave69 reserves the right to withdraw or amend a quotation before it is accepted by the Client.
A proposal is accepted when the Client provides written confirmation (email is acceptable) and pays the required deposit or first retainer payment, whichever applies to the service in question.
Unless otherwise agreed in writing, payment for web design and development projects is structured as follows:
Monthly retainer services are billed monthly in advance. The first payment is due before work commences. Subsequent payments are due on the same day of each calendar month. Wave69 reserves the right to pause or suspend work where payment is more than 7 days overdue.
Invoices unpaid after 14 days from the due date may incur a late payment charge in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. Wave69 reserves the right to pause all active work until overdue invoices are settled.
Unless explicitly stated otherwise, all prices quoted by Wave69 are exclusive of VAT. VAT, where applicable, will be added to invoices at the prevailing rate.
Monthly retainers require 30 days' written notice to cancel. Notice must be given in writing (email to info@wave69.co.uk). The Client remains liable for any retainer fees falling due within the 30-day notice period.
Where a project is cancelled after work has commenced, Wave69 will invoice for all work completed to the date of cancellation at the agreed project rate or, where an hourly rate applies, at £95 per hour. The deposit paid at the outset is non-refundable once work has commenced.
Wave69 reserves the right to terminate an engagement immediately and without penalty where: the Client engages in conduct that Wave69 considers fraudulent, abusive, or unlawful; the Client misrepresents the nature of their business or the legality of their operations; or payment is more than 30 days overdue and no payment plan has been agreed.
The Client is responsible for:
All content, images, trademarks, and materials provided by the Client to Wave69 remain the intellectual property of the Client. The Client grants Wave69 a licence to use such materials solely for the purpose of delivering the agreed services.
Upon receipt of full payment for a project, Wave69 assigns to the Client ownership of the final deliverables created specifically for that project (for example, website design files and written content). Wave69 retains ownership of all underlying tools, frameworks, proprietary methodologies, template components, and pre-existing code libraries used in delivery, which are licensed (not assigned) to the Client for use in the specific deliverable.
Wave69 reserves the right to reference completed work in its portfolio and case studies unless the Client has expressly requested otherwise in writing before the project commences. Where clients operate in sensitive industries requiring confidentiality, we will discuss appropriate anonymisation on a case-by-case basis.
Wave69 treats all client information as confidential. We do not disclose client identities, campaign details, website traffic data, or business information to third parties without the Client's prior written consent, except where required by law.
Where a Client requires a formal Non-Disclosure Agreement (NDA) to be signed before sharing sensitive business information, Wave69 is willing to execute such agreements. Please request this before sharing information you consider sensitive.
Wave69 may recommend or set up third-party services on behalf of Clients (including but not limited to: hosting providers, payment gateways, domain registrars, analytics platforms, and marketing tools). Wave69 does not resell these services; the Client contracts with and pays those providers directly.
Wave69 accepts no liability for the availability, performance, or actions of third-party providers, including changes to their terms of service, acceptable use policies, or pricing.
Where Wave69 provides hosting setup and maintenance services, the Client's hosting account remains in the Client's name and under the Client's direct control. Wave69 acts as a service provider assisting in the management of that account.
Wave69 does not guarantee uninterrupted uptime or the availability of third-party hosting infrastructure. Scheduled and unscheduled maintenance by hosting providers is outside Wave69's control. In the event of hosting issues, Wave69 will act with reasonable diligence to restore service within the scope of the agreed maintenance retainer.
Wave69 provides search engine optimisation services in accordance with Google's published Webmaster Guidelines and equivalent guidelines from other search engines. All SEO work carried out by Wave69 is white-hat — we do not use paid link schemes, private blog networks, keyword cloaking, or other techniques that violate search engine guidelines.
Wave69 does not guarantee specific search engine rankings, traffic volumes, or revenue outcomes. SEO results are influenced by factors outside Wave69's control, including search engine algorithm changes, competitor activity, and the Client's own website performance. Where we have provided projections, these are estimates based on professional judgement and do not constitute a guarantee.
To the fullest extent permitted by applicable law, Wave69's total liability to the Client in connection with any engagement shall not exceed the total fees paid by the Client to Wave69 in the 12 months immediately preceding the event giving rise to the claim.
Wave69 shall not be liable for any indirect, consequential, or special loss, including loss of profits, loss of business, loss of revenue, loss of data, or loss of anticipated savings, whether arising in contract, tort (including negligence), or otherwise, even if Wave69 has been advised of the possibility of such loss.
Nothing in these Terms excludes or limits Wave69's liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Wave69 works exclusively within the legal adult entertainment and services industry. We do not provide services to businesses engaged in activities that are illegal under the laws of England and Wales or the laws of the Client's operating jurisdiction. The Client warrants that their business operations are lawful and that they hold all necessary licences and registrations required to operate.
Wave69 is not responsible for ensuring the Client's compliance with sector-specific legislation, including but not limited to age verification legislation, data protection law, and advertising standards applicable to the Client's industry. The Client accepts sole responsibility for their own legal compliance.
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.
In the event of a dispute, both parties agree to attempt resolution in good faith through direct negotiation before initiating legal proceedings. Wave69's primary contact for dispute resolution is info@wave69.co.uk.
Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Wave69 reserves the right to amend these Terms from time to time. Clients engaged on ongoing retainers will be notified of material changes by email with 30 days' notice. Continued engagement after the notice period constitutes acceptance of the revised Terms.
The current version of these Terms is always available at wave69.co.uk/terms-conditions/.
These Terms, together with any written proposal, scope of work, or client agreement, constitute the entire agreement between Wave69 and the Client with respect to the subject matter hereof and supersede all prior representations, understandings, and agreements.
